Principals expect agents to act in their best interest, but managers may pursue personal goals instead. This creates what is known as the **agency problem**, where conflicts of interest arise. Corporate governance provides mechanisms such as monitoring, incentives, and accountability structures to reduce these conflicts.

It assumes that managers are **stewards**, motivated to act in the best interest of shareholders and the organisation. Instead of focusing on control, this theory emphasises trust, empowerment, and alignment of goals. Corporate governance under stewardship theory encourages collaboration and shared responsibility.
